StudyWhere.ai — Terms of Service

StudyWhere is an AI-powered information and discovery platform for students exploring study-abroad options. The Service provides automated, AI-generated content about universities, courses, scholarships, admissions processes, visas, costs of study, and related topics, and may connect you with third-party businesses relevant to your goals.

StudyWhere is not:

• a university, admissions office, or education institution;
• an immigration consultant, visa agent, or law firm;
• a licensed education counselor, financial advisor, or lender;
• an agent, representative, or guarantor of any institution or business it describes or refers you to.

Nothing on the Service constitutes legal, immigration, financial, tax, or professional advice of any kind. The Service is provided for general informational purposes only.

You must be at least 18 years old to use the Service. If you are between 13 and 18 (or between 13 and the age of majority in your jurisdiction), you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. The Service is not intended for children under 13, and we do not knowingly collect information from them.

By using the Service, you represent that you meet these requirements and that all information you provide is accurate, current, and complete.

The Service relies on artificial intelligence and large language models to generate responses, recommendations, summaries, and other content ("AI Content"). You acknowledge and agree that:

• AI Content can be wrong. AI systems can produce inaccurate, incomplete, outdated, or misleading information, including about admission requirements, deadlines, tuition fees, scholarship amounts, eligibility criteria, visa rules, rankings, and any other subject. This is an inherent limitation of the technology.
• You must independently verify everything. Before making any decision or taking any action — including applying to an institution, paying a fee, booking travel, signing a loan, or submitting a visa application — you must verify all information directly with the official source (the university, the relevant government or embassy, the scholarship provider, or a qualified professional).
• No reliance. You agree not to rely on AI Content as a substitute for official sources or professional advice. Any reliance you place on AI Content is strictly at your own risk.
• No duty to correct. While we work to improve the Service, we have no obligation to review, verify, update, or correct AI Content, and we make no commitment that any error will be identified or fixed.
• AI Content is not our statement of fact. AI Content is machine-generated output and does not represent the views, advice, or factual assertions of StudyWhere, its officers, employees, or partners.

StudyWhere makes no representation, warranty, or guarantee regarding any outcome connected to your use of the Service, including without limitation:

• admission to any university, college, program, or course;
• award of any scholarship, grant, or financial aid;
• approval of any visa, permit, or immigration status;
• approval or terms of any education loan or financing;
• availability, pricing, or quality of any accommodation, test-preparation, insurance, remittance, or other service;
• career, employment, or academic results of any kind.

Admissions, visa, and funding decisions are made solely by third parties applying their own criteria. Your use of the Service does not improve, influence, or guarantee any such decision, and StudyWhere accepts no responsibility whatsoever for any outcome, decision, delay, rejection, financial loss, missed deadline, or other consequence arising from your use of, or reliance on, the Service.

A core function of the Service is connecting students with relevant third-party businesses, which may include universities and colleges, education consultants and agents, scholarship providers, test-preparation companies, education loan providers and financial institutions, accommodation providers, insurance providers, and other businesses relevant to studying abroad (collectively, "Matching Partners").

By using the Service, and in particular by submitting your details, expressing interest in an institution, program, or service, or requesting to be contacted, you expressly consent to StudyWhere:

• sharing your information — including your name, contact details, academic background, test scores, budget, destination preferences, and the content of your queries — with Matching Partners whose offerings reasonably relate to your expressed interests;
• permitting Matching Partners to contact you directly by phone, email, WhatsApp, SMS, or other channels regarding their products and services;
• receiving compensation from Matching Partners in connection with referrals, leads, or resulting transactions.

Matching Partners are independent businesses. StudyWhere does not control, endorse, or vouch for them, does not verify their credentials, licensing, or claims, and is not a party to any agreement you enter into with them. Any dealings between you and a Matching Partner — including payments, services rendered, promises made, and disputes — are solely between you and that Matching Partner. StudyWhere disclaims all liability arising from or relating to any Matching Partner, including their acts, omissions, representations, data-handling practices, service quality, or failure to deliver.

Our collection and handling of personal data is further described in our Privacy Policy, which forms part of these Terms. If you do not want your information shared with Matching Partners, do not submit it through the Service.

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us promptly of any unauthorized use. We may suspend or terminate accounts at our discretion, including for suspected fraud, abuse, or violation of these Terms.

You agree not to:

• use the Service for any unlawful purpose, including visa fraud, document falsification, or misrepresentation in any application;
• submit false, misleading, or third-party information without authorization;
• scrape, crawl, harvest, or systematically extract data or AI Content from the Service, or use the Service to train or improve any competing AI model;
• reverse-engineer, probe, or interfere with the Service, its security, or its infrastructure;
• use the Service to send spam, harass others, or infringe any third party's rights;
• attempt to manipulate, jailbreak, or extract system prompts or underlying model behavior from our AI agents;
• resell, sublicense, or commercially exploit the Service without our written consent.

We may monitor use of the Service and may suspend or terminate access, remove content, and take legal action for violations.

You retain ownership of the information and content you submit ("User Content"). You grant StudyWhere a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, reproduce, process, adapt, and share User Content for the purposes of operating, providing, improving, and marketing the Service, including sharing with Matching Partners as described in Section 5 and using anonymized or aggregated data for analytics and model improvement. You represent that you have all rights necessary to grant this license and that your User Content does not violate any law or third-party right.

The Service — including its software, design, text, graphics, logos, trademarks, and the compilation of all content — is owned by StudyWhere or its licensors and is protected by intellectual property laws. Except for the limited right to access and use the Service for personal, non-commercial purposes, no rights are granted to you. "StudyWhere" and associated logos are our trademarks and may not be used without our prior written consent.

Core features of the Service may be offered free of charge. We may introduce paid features, subscriptions, or premium services at any time, with pricing disclosed before purchase. All fees are exclusive of applicable taxes and, unless required by law, are non-refundable. We may change pricing prospectively at any time.

The Service may contain links to, or integrations with, third-party websites, tools, and services (including messaging platforms such as WhatsApp). These are provided for convenience only. We do not control and are not responsible for their content, availability, terms, or privacy practices. Your use of any third-party service is at your own risk and subject to that third party's terms.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT — INCLUDING ALL AI CONTENT — ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. STUDYWHERE DOES NOT WARRANT THAT ANY AI CONTENT IS ACCURATE, THAT ANY INFORMATION IS CURRENT, THAT ANY MATCHING PARTNER IS SUITABLE OR REPUTABLE, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

STUDYWHERE, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND PARTNERS (THE "STUDYWHERE PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, OPPORTUNITY, DATA, GOODWILL, ADMISSION, VISA, SCHOLARSHIP, FUNDING, OR EDUCATIONAL OR CAREER PROSPECT, ARISING FROM OR RELATING TO THE SERVICE, ANY AI CONTENT, OR ANY MATCHING PARTNER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE STUDYWHERE PARTIES' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID STUDYWHERE FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD 100).

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow certain exclusions or limitations; in those jurisdictions, the above apply to the fullest extent permitted.

You agree to defend, indemnify, and hold harmless the StudyWhere Parties from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, losses, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys' fees and costs of enforcement) arising out of or relating to:

• your access to or use of the Service, or inability to use it;
• your reliance on any AI Content or other information obtained through the Service;
• any decision, application, transaction, travel, expenditure, or other action you take (or fail to take) based on the Service;
• your dealings with any Matching Partner or other third party introduced through, or contacted via, the Service;
• your User Content, including any claim that it infringes or violates any third-party right or law;
• your violation of these Terms, the Privacy Policy, or any applicable law or regulation, including immigration, education, consumer-protection, and data-protection laws;
• any false, inaccurate, or misleading information you provide to StudyWhere, a Matching Partner, an institution, or a government authority;
• your negligence, willful misconduct, or fraud;
• any claim brought by a parent, guardian, sponsor, or other person on your behalf or in connection with your use of the Service.

StudyWhere reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully. You may not settle any such claim without our prior written consent. This Section survives termination of these Terms.

To the maximum extent permitted by law, you release the StudyWhere Parties from all claims, liabilities, and damages of every kind, known or unknown, arising out of or in any way connected with (a) any dispute between you and any Matching Partner or other third party, and (b) any outcome of any application, visa process, funding request, or enrollment. If you are a resident of a jurisdiction that restricts general releases of unknown claims, you waive any such restriction to the extent permitted.

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the Service at any time. Upon termination, Sections 3–5, 8–9, and 12–20 survive.

We may modify, suspend, or discontinue the Service (or any feature) at any time without liability. We may revise these Terms from time to time; the updated version will be posted with a revised effective date. Your continued use of the Service after changes take effect constitutes acceptance. Material changes may be notified by email or in-product notice where practicable.

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Terms or the Service shall be finally resolved by arbitration under the DIFC-LCIA / DIAC Arbitration Rules by a sole arbitrator, seated in Dubai, UAE, conducted in English. You agree that disputes will be resolved on an individual basis only; class actions and collective proceedings are waived to the fullest extent permitted by law. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

By providing your contact details, you consent to receive communications from StudyWhere and, as described in Section 5, from Matching Partners — including transactional, service, and promotional messages via email, phone, SMS, and WhatsApp. You may opt out of promotional communications from StudyWhere by following the unsubscribe instructions provided; opting out of Matching Partner communications must be done directly with the relevant partner.

Entire Agreement. These Terms, together with the Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and StudyWhere regarding the Service. Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect. No Waiver. Failure to enforce any provision is not a waiver. Assignment. You may not assign these Terms; we may assign them freely, including in connection with a merger, acquisition, or sale of assets. Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control. No Agency. Nothing in these Terms creates any partnership, agency, or employment relationship between you and StudyWhere, or between StudyWhere and any Matching Partner beyond an independent referral arrangement.
